Instructions

Licensor shall provide Distributor with a Chain of Title Summary Memo explaining the complete trail of documents that make up the Chain of Title. The documents that will accompany this Memo shall include:
The formation documents of Licensor and a document indicating which individuals have the right to sign binding agreements for Licensor.

One (1) copy of the United States Copyright Registration duly stamped by the U.S. Copyright Office for the underlying material from which the Picture was derived (e.g. the screenplay); provided, however, that if the stamped registration statement has not yet been received by Licensor, Licensor shall deliver a package of supporting documentation as a placeholder. This package of supporting documentation must include the materials listed in the description of items #3 “Copyright Certificates (Script)” and #23 “Copyright Certificates (Motion Picture/Entire Series)” in this delivery schedule. 

One (1) copy of any and all Rights Agreements indicating how Licensor came to own the rights in such Screenplay, including but not limited to all contracts, writer payments, options, option payments, assignments, licenses, quitclaims, certificates of authorship, written permissions, powers of attorney or other written documents relating to the acquisition of all rights; in form and substance satisfactory to Distributor, which satisfaction will not be arbitrarily withheld. Proof of payments must be included in the chain of title.

Each of these items must be compiled, in chronological order, into one document with the Chain of Title Summary Memo as the first page. Alternatively, each of these items can be delivered as separate documents, provided that they are numbered in chronological order per the Chain of Title Summary Memo.
